These Terms of Use apply to all users of the Yield360 Platform and cover all features and functionalities offered now or in the future. By accessing or using the Yield360 Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

If you disagree with any part of these Terms of Use, you must not use the Yield360 Platform.

Your use of the Yield360 Platform signifies your agreement to these Terms of Use and constitutes a binding legal agreement between you and Zephyr One Pte Ltd. We reserve the right to update, change, or modify these Terms of Use at any time.

Use Conditions

To access or use the Yield360 Platform, you must accurately complete a registration process on our website. We reserve the right to accept or reject any registration at our sole discretion. Your continued use of the Yield360 Platform following any updates or changes to these Terms constitutes your acceptance of those changes.

Changes to the Yield360 Platform or Terms of Use

We may modify, suspend, or discontinue any aspect of the Yield360 Platform at any time without notice. We may also impose limits on certain features or restrict access to parts of the Yield360 Platform. We reserve the right to amend these Terms of Use at any time. Significant changes will be communicated through the platform, via email, or by posting on our website.

Restrictions on Use

You are prohibited from:

• Copying, modifying, or creating derivative works of the Yield360 Platform.
• Sharing or allowing others to use the Yield360 Platform in violation of these Terms of Use.
• Deleting or altering any proprietary rights notices.
• Using the Yield360 Platform to infringe on third-party rights or collect personal information without consent.
• Advertising or offering to sell goods or services in categories that are prohibited under applicable laws or regulations.

Ownership and Intellectual Property

The Yield360 Platform, including all modifications, enhancements, and upgrades, is owned by Zephyr One Pte Ltd or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, revocable license to use the Yield360 Platform under these Terms of Use, without any right to sublicense.

Privacy Policy

Your use of the Yield360 Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms of Use.

Advertisements

The Yield360 Platform may display advertisements. We are not responsible for the content of these advertisements or the products or services they offer. You are prohibited from advertising in prohibited categories as outlined by applicable laws and regulations.

Updates and Upgrades

Updates or upgrades may be issued for the Yield360 Platform, some of which may be mandatory to continue using the platform. By continuing to use the Yield360 Platform, you agree to such updates or upgrades.

Disclaimer of Warranties

The Yield360 Platform is provided "as is" without any warranties, express or implied. We disclaim all warranties to the maximum extent permitted by law.

Limitation of Liability

Zephyr One Pte Ltd shall not be liable for any indirect, special, incidental, or consequential damages arising out of the use or inability to use the Yield360 Platform.

Indemnification

You agree to indemnify and hold harmless Zephyr One Pte Ltd, its affiliates, officers, directors, and employees from any claims, damages, or expenses arising from your use of the Yield360 Platform or violation of these Terms of Use.

Miscellaneous

These Terms of Use are governed by the laws of the jurisdiction where Zephyr One Pte Ltd is located, without regard to its conflict of law provisions.

Arbitration

Any disputes arising under these Terms of Use will be resolved through binding arbitration in accordance with the rules of an agreed-upon arbitration body.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law.

By using the Yield360 Platform, you acknowledge that you have read these Terms of Use and agree to be bound by them.

Service Fees Agreement / Terms

This Service Fees Agreement ("Agreement") governs the provision of services by Yield360. The period of performance of this Agreement commences on the Effective Date and will automatically renew for additional like periods ("Renewal Periods") under the same terms of service. Renewal Fees will be automatically debited from the client’s credit card at the beginning of each Renewal Period. You agree that Yield360 will not require additional authorization for any recurring payments or automatic billing options. Services are non-refundable unless otherwise expressly stated in the pricing terms for the applicable service.

Billing Terms:
A valid credit card is required for all accounts.
The Service is billed in advance on a monthly basis and is non-refundable. There are no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. To ensure fairness, no exceptions will be made.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
All fees are collected in United States dollars, regardless of your country of origin's currency exchange rate.
For any upgrade or downgrade in plan level, the credit card provided will automatically be charged the new rate on your next billing cycle.
If your account exceeds your current plan spend limit, it will be billed for overages according to the terms specified in your current plan.
Yield360 reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. No changes, refunds, or credits will be made to your service plan in such cases.
Prices of all Services, including but not limited to monthly subscription plan fees, are subject to change upon 30 days’ notice from us.
Yield360 may suspend or terminate the use of your account if you fail to provide a valid credit card.
Any billing problems or discrepancies must be addressed within thirty (30) days from the date you are billed. Failure to do so will result in a waiver of your right to dispute such problems or discrepancies.

Terminations & Refunds:
You are solely responsible for properly canceling your account. Cancellation requests via email are accepted.
All of your Content may be immediately deleted from the Service upon cancellation. This information cannot be recovered once your account is canceled.
If you cancel the Service before the end of your current paid-up month, your cancellation will take effect immediately, and you will not be charged again.
Yield360 has the right to suspend or terminate your account and refuse any and all current or future use of the Service, for any reason at any time. Such termination will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account.
Yield360 reserves the right to refuse service to anyone for any reason at any time.
If for any reason not mentioned in this agreement you need to request a refund of the last billed service fee, such requests should be made within 3 days from the new monthly period for which your account is billed.
